These Terms & Conditions (the “Terms”) govern your access to and use of the website located at [https://www.motley.ai] and any related subdomains (the “Site”), and the online services, software and features provided by Motley Stories AG through the Site (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use the Site or Services.

The Site and Services are operated by Motley Stories AG, a company incorporated in Switzerland (“Motley,” “we,” “us,” “our”).

2. Eligibility & business use
The Services are intended for business use only. By using the Services, you represent and warrant that (a) you are at least 18 years old; (b) if you are using the Services on behalf of a company or other legal entity, you have authority to bind that entity to these Terms; and (c) your use complies with applicable laws and regulations.
3. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will provide notice (e.g., by posting the updated Terms on the Site or via email). Changes take effect when posted unless otherwise specified. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
4. Accounts, access & security
You may need to register an account to use certain Services. You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activities under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or present a security risk.
5. Subscriptions, credits & fees
5.1 Plans & billing. Access to some Services may require a paid subscription (each a “Plan”). Plan features, limits and pricing are described at the time of order or in an order form (an “Order”). Fees are payable in advance and non‑refundable except as expressly set out in these Terms or the Order.
5.2 Report credits & workflows. Plans may include allocations such as report credits (units that permit Motley to generate a defined report output) and workflows (configured automation sequences that produce or assist in report generation). Unused allocations expire at the end of the applicable term and do not roll over unless expressly stated in the Order. Overage fees may apply if you exceed Plan limits.
5.3 Taxes. Fees are exclusive of all taxes, duties, and similar charges, which are your responsibility. Where required by law, we will charge applicable taxes on invoices.
5.4 Changes to pricing. We may change pricing or Plan features upon renewal or for new subscriptions. For existing subscriptions, changes will apply at the next renewal unless otherwise agreed in an Order.
5.5 Free trials & beta. We may offer free or discounted trials or beta access. We may modify or terminate such access at any time.
6. Permitted use & acceptable use policy
6.1 License. Subject to these Terms and your Order, Motley grants you a limited, non‑exclusive, non‑transferable, revocable right to access and use the Services during your subscription term for your internal business purposes.
6.2 Acceptable use. You will not (and will not permit anyone to):
- reverse engineer, decompile, disassemble or otherwise attempt to derive source code or underlying models, except to the extent such restrictions are prohibited by law;
- circumvent or disable security or usage controls;
- use the Services to develop competing products;
- submit or generate content that is unlawful, infringing, defamatory, fraudulent, or that violates privacy or other rights;
- transmit malware or interfere with the integrity or performance of the Services;
- misrepresent output as human‑generated without disclosure where required by law or your policies;
- use the Services in high‑risk contexts where inaccurate output could cause death, personal injury, or severe property/environmental damage.
We may suspend or restrict the Services if we reasonably believe there is a violation of this Section.
7. Customer data, privacy & data processing
7.1 Customer Data. “Customer Data” means data, content, files, prompts, and other materials you (or your authorized users) submit to or through the Services. You retain all rights to Customer Data, subject to the licenses granted in these Terms.
7.2 Our use of Customer Data. You grant Motley a non‑exclusive license to process, host, store, transmit, display and otherwise use Customer Data solely to provide, maintain, secure, and improve the Services and to prevent or address service, security, and support issues.
7.3 Privacy. Our collection and use of personal data are described in our Privacy Policy available on the Site. We comply with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU GDPR. Where required, a Data Processing Agreement (DPA) forms part of your contract with us and is available upon request or via the Order.
7.4 Security. We implement appropriate technical and organizational measures designed to protect Customer Data. You are responsible for configuring the Services appropriately and for securing your own systems and credentials.
7.5 Data residency & transfers. We may process and store data in Switzerland, the EEA, or other countries with adequate safeguards, including standard contractual clauses where applicable.
8. AI‑generated output; accuracy & use
The Services may generate text, images, graphs, summaries, or other content (“Output”) using machine learning models. Output can be incorrect, incomplete, or misleading and may reflect biases. You are solely responsible for (a) reviewing Output for accuracy, completeness, and appropriateness; (b) making human decisions based on your professional judgment; and (c) ensuring downstream use complies with applicable laws and your contractual obligations.
Unless prohibited by your Order, we grant you a worldwide, non‑exclusive license to use, reproduce, and display Output for your business purposes. This license does not include our underlying models, software, or training data.
9. Third‑party services & data sources
The Services may integrate with third‑party products, data sources, or platforms (e.g., CRMs, BI tools, cloud storage). Your use of third‑party services is governed by those providers’ terms and policies. We are not responsible for third‑party services and do not warrant their availability or performance.
10. Intellectual property
We and our licensors retain all rights, title, and interest in and to the Services, including software, models, interfaces, documentation, and all related intellectual property. Except for the limited rights expressly granted in these Terms, no other rights are granted by implication or otherwise.
You grant us a non‑exclusive, perpetual, irrevocable, royalty‑free license to use and incorporate into the Services any feedback or suggestions you provide.
11. Confidentiality
Each party may receive non‑public information from the other party that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). Each party will use the other party’s Confidential Information only to perform under these Terms and will protect it with reasonable care. This Section does not restrict disclosures required by law, provided the recipient gives reasonable notice (where lawful) and cooperates in seeking protective measures.
12. Publicity
We may use your name and logo to identify you as a customer on our Site and marketing materials, consistent with your brand guidelines, unless you opt out by notifying us in writing.
13. Warranties & disclaimers
13.1 Mutual. Each party represents that it has the authority to enter into these Terms.
13.2 Services. We provide the Services on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non‑infringement, and availability. We do not warrant that the Services or Output will be error‑free, uninterrupted, or meet your requirements.
14. Indemnification
You will defend, indemnify, and hold harmless Motley, its affiliates, and personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services or Output in violation of these Terms or law; (b) Customer Data; or (c) your violation of third‑party rights.
15. Limitation of liability
15.1 Cap. To the maximum extent permitted by law, Motley’s total liability arising out of or relating to these Terms will not exceed the amounts paid by you to Motley for the Services in the 12 months preceding the event giving rise to liability.
15.2 Exclusions. To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business interruption.
15.3 Carve‑outs under Swiss law. Nothing in these Terms limits liability for intentional misconduct or gross negligence, nor for death or personal injury, where such limitations are not permitted under Swiss law.
16. Term, suspension & termination
These Terms apply from your first use of the Services and continue until terminated. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within 30 days of notice. We may suspend your access immediately if: (a) you breach Section 6 (Acceptable Use) or Section 5 (Fees), (b) your use poses a security risk, or (c) required by law.
Upon termination, your right to access the Services ceases. We will make Customer Data available for export for a reasonable period (e.g., 30 days) unless prohibited by law or your Order states otherwise.
17. Export control & sanctions
You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions, and you are not a denied party under applicable sanctions or export control laws. You will not use the Services in violation of such laws.
18. Anti‑bribery
You will comply with applicable anti‑bribery and anti‑corruption laws, including the Swiss Criminal Code and, where applicable, the UK Bribery Act and U.S. FCPA.
19. Force majeure
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, labor disputes, power failures, internet outages, or government actions.
20. Notices
We may provide notices to you via the Services, email, or your account dashboard. You will send legal notices to: Motley Stories AG, Berglistrasse 30, 8623 Wetzikon ZH, Switzerland, and legal@motley.ai.
21. Assignment
You may not assign or transfer these Terms without our prior written consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees in writing to be bound by these Terms. We may assign these Terms without restriction.
22. Governing law & venue; language
These Terms and any dispute arising out of or relating to them are governed by the substantive laws of Switzerland, excluding its conflict‑of‑law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is the ordinary courts of the City of Zürich, Canton of Zürich, Switzerland. The controlling language of these Terms is English; translations are for convenience only.
23. Entire agreement; severability; no waiver
These Terms, the Privacy Policy, any DPA, and any applicable Order constitute the entire agreement between you and Motley regarding the Services and supersede all prior agreements on the same subject. If any provision is held unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver.

- “Customer Data” has the meaning in Section 7.1.
- “Order” means an online checkout page, order form, or other mutually executed document specifying your Plan, term, and fees.
- “Output” means AI‑generated content produced by the Services in response to your inputs.
- “Plan” means a subscription offering with defined features, limits, and fees.
- “Services” means the Site and Motley’s hosted software and features provided to you.
- “Workflow” means a configured automation in the Services that orchestrates steps to produce or assist in producing a report or document.
